Terms of Service

These terms and conditions govern your use of the services provided by OnloAI Inc. (“Onlo”, “we” or “our”), including the website located at https://onlo.ai and the Onlo platform. By accessing or using the Service, you agree to be bound by these terms.

1. The Service

Onlo provides a cloud-based AI customer support platform. The Service includes a unified conversation runtime, AI support agents, playbook automation, an action layer that executes operations across connected third-party tools, and analytics. Features may evolve over time as the Service is developed.

2. Subscriptions and access

Access to the Service is provided on a subscription basis and is limited to authorized members of your team. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. Acceptable use

You agree not to copy, modify, reverse engineer, decompile, resell, or otherwise misuse the Service. You may not use the Service to transmit unlawful, harmful, or infringing content, or in any way that could damage, disable, or impair the Service or interfere with any other party's use of it.

4. Connected services and the action layer

The Service can connect to third-party tools (such as Slack, Stripe, Linear, Zendesk, and others) and perform actions on your behalf within the scopes and guardrails you configure. You are responsible for the permissions you grant and for reviewing the approval rules that govern automated actions. Onlo is not liable for actions taken within the authority you explicitly configure.

5. Payment

Fees are charged according to the plan you select and are billed in advance on a recurring basis. Unless stated otherwise, fees are non-refundable. We reserve the right to change pricing with reasonable notice; changes will not affect the current billing cycle.

6. Term and termination

Subscriptions renew automatically at the end of each billing period unless cancelled beforehand. Either party may terminate for material breach if the breach is not cured within a reasonable period after notice. Upon termination, your right to access the Service ends, and you may export your data within a reasonable window before deletion.

7. Intellectual property

Onlo owns all rights, title, and interest in the Service, including all related software, models, and documentation. You retain all rights to the content and data you submit to the Service. You grant Onlo a limited license to process that content solely to provide and improve the Service to you. Customer data is never used to train our AI models.

8. Warranties and disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of liability

To the maximum extent permitted by law, Onlo's total liability arising out of or related to these terms shall not exceed the fees paid by you to Onlo in the twelve months preceding the event giving rise to the claim. Onlo shall not be liable for any indirect, incidental, or consequential damages.

10. Data and privacy

Our handling of personal data is governed by our Privacy Policy, which forms part of these terms.

11. Changes to these terms

We may update these terms from time to time. Material changes will be communicated by posting the updated terms on this page with a revised “Last edited” date. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

12. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
